These Terms of Service (“Terms”) govern your use of the Drade Digital website and any services you purchase from us. By using the site or signing an engagement, you agree to these Terms.
1. About these Terms
These Terms form an agreement between you and Drade Digital (“we,” “us,” or “our”). They apply to visitors of our website and to clients who purchase design, development, or operations services. If you sign a separate written agreement for a project, that agreement controls for project-specific matters and these Terms apply to everything else.
2. Services we provide
Drade Digital builds digital platforms for businesses, including brand identity, website design and development, SEO, social content systems, back-end admin consoles, automated email response, and related services. Each project is scoped in a written proposal or statement of work before work begins. We do not guarantee specific business outcomes, rankings, or revenue results.
3. Using the website
- You may browse the site and submit a request for information.
- You may not scrape, hack, overload, or interfere with the site or its underlying systems.
- You may not use the site for illegal, fraudulent, or abusive purposes.
- We reserve the right to suspend access for violations of these rules.
4. Accounts and access
Some clients receive access to a private portal or admin console. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Admin and team roles are assigned by Drade Digital; unauthorized attempts to escalate access are prohibited.
5. Payments and refunds
- Project fees are set in the proposal. Because each build is custom-scoped, pricing varies based on requirements, timeline, and complexity.
- Deposits and payment schedules are described in the proposal.
- Refunds, if any, are handled according to the signed proposal and the work completed to date.
- Free managed hosting is included with qualifying builds as described in the proposal. Extra storage, traffic, or third-party fees may incur additional charges.
6. Intellectual property
Upon full payment, you receive the rights to the final deliverables specifically created for your project, unless otherwise stated in the proposal. Drade Digital retains ownership of pre-existing tools, templates, frameworks, and general know-how. We may display completed work in our portfolio unless you request otherwise in writing.
7. Confidentiality
We treat information you share during a project as confidential and do not disclose it except as needed to perform the work or as required by law. You agree not to share our proprietary processes, code, or internal tools with third parties without permission.
8. Third-party services
We often integrate third-party services (hosting, email, auth, analytics, payments, etc.) on your behalf. Their terms and uptime apply to those parts of the system. We select reliable providers, but we are not liable for their failures beyond what we can reasonably control.
9. Limitation of liability
To the fullest extent permitted by law, Drade Digital is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the site or our services. Our total liability for any claim is limited to the amount you paid us for the specific project in the 12 months before the claim.
10. Term and termination
Either party may end a project according to the termination clause in the signed proposal. These Terms survive termination for matters that by nature continue (intellectual property, confidentiality, payment, liability limits).
11. Changes to these Terms
We may update these Terms from time to time. The current version will always be posted at this page with a revised “Last updated” date. Your continued use of the site after changes means you accept the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
